Terms of Service

These Terms describe how Trinetra CRM operates, what you can expect from us, and what we expect from you. They apply to every plan — Starter through Enterprise.
01. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of Trinetra CRM (the "Service"), operated by Trinetra CRM (Sole Proprietorship of Raj Kumar Upadhyay · UDYAM-DL-06-0205844) ("Trinetra", "we", "us"). Registered office: 517, 1st Floor, Shalimar Bagh Residence, Block Bh, Shalimar Bagh, New Delhi, Delhi, 110088, India. By signing up for an account, accessing the platform, or sending a message through it, you agree to be bound by these Terms and our Privacy Policy.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, do not use the Service.
02. Account & Eligibility
You must be at least 18 years old and capable of forming a binding contract under Indian law to use Trinetra. You may not use the Service if you are barred from doing so under any applicable law.
You agree to provide accurate, current information when creating your account, and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
- One account per business unless otherwise agreed in writing.
- You must promptly notify us of any unauthorized access at privacy@trinetracrm.com.
- Sharing credentials across more agents than your plan allows is a breach of these Terms.
03. Subscription, Billing & Two-Bill Structure
Trinetra operates on a transparent two-bill structure: you pay Trinetra for the software (your monthly or annual plan) and you pay Meta directly for WhatsApp message charges. We do not sit between you and Meta on message-cost flow, and we do not mark up Meta charges.
Software fees are billed in advance, in INR. Trinetra is not currently GST-registered — turnover sits below the ₹20 lakh threshold under CGST Act §22 and Notification No. 10/2019 (Central Tax). Invoices reflect this honestly: no GST is charged. When turnover crosses the threshold or we register voluntarily, GST will be added at 18% (SaaS HSN/SAC 998314) and we will give 30 days' email notice before the first GST-bearing invoice.
Plans renew automatically at the end of each billing period unless cancelled. Annual plans are pre-paid; monthly plans bill on the same day each month. Marketing-message overages are billed at your plan rate at the end of the cycle.
- Starter — ₹999/m annual or ₹1,499/m monthly.
- Growth — ₹1,999/m annual or ₹2,999/m monthly.
- Pro — ₹3,999/m annual or ₹5,999/m monthly.
- Every plan ships with a 14-day free trial — no credit card required to start.
- Enterprise — sales-led, negotiated terms; SLA, success manager, custom integrations.

04. Acceptable Use
You agree to use Trinetra only for lawful purposes and in compliance with Meta's WhatsApp Business Platform policies (including the WhatsApp Business Messaging Policy, Commerce Policy, and the WhatsApp Business Solution Terms). You are solely responsible for the content you send to your contacts.
- No spam, no purchased lists, no messaging contacts who have not opted in.
- No harassment, hate speech, or content that violates any law or third-party right.
- No illegal goods or services, no fraud, no impersonation.
- No attempt to circumvent Meta's rate limits, quality ratings, or template review.
- No reverse engineering, scraping, or building a competing product using the Service.
Violations may result in immediate suspension. Repeated or severe violations result in termination with no refund. Material breaches of Meta's policies may additionally trigger Meta-side enforcement (template rejection, quality-rating downgrade, account-level suspension) which Trinetra cannot reverse.
05. Customer Data & Ownership
You own your customer data — every contact, conversation, template, and tag you create. Trinetra processes that data on your instructions, as a Data Processor under the DPDP Act. We will sign a Data Processing Addendum (DPA) on request for plans Growth and above.
We will not sell, rent, or use your customer data to train third-party models. Aggregated, anonymised usage statistics may be used to improve the Service.
06. Intellectual Property
Trinetra CRM (Sole Proprietorship of Raj Kumar Upadhyay · UDYAM-DL-06-0205844) retains all rights, title, and interest in the platform — code, design, brand, documentation. You receive a non-exclusive, non-transferable, revocable license to use the Service while your subscription is active.
You retain all rights to the content you upload, send, or generate using the Service. You grant Trinetra the limited rights necessary to host, display, transmit, and back up that content for the purpose of providing the Service.
07. Termination
You may cancel at any time from the in-app billing portal — no questions, no retention call. Access continues until the end of your paid period.
We may suspend or terminate your account if you breach these Terms, fail to pay, or use the Service in a way that endangers other customers or our platform. We will give reasonable notice except in cases of urgent risk.
- On cancellation, your data is retained for 30 days for win-back, then permanently deleted (see /data-deletion for the full retention schedule).
- You may export your data at any time during the active period using built-in export tools.
- Refund eligibility is governed by the Refund Policy.
08. Limitation of Liability
To the maximum extent permitted by law, Trinetra's aggregate liability under these Terms is limited to the amount you paid for the Service in the twelve months preceding the event giving rise to the claim.
Trinetra is not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, lost data, or business interruption — even if advised of the possibility.
Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, or any other liability that cannot be limited under Indian law.
09. Indemnity
You agree to indemnify and hold Trinetra harmless from any third-party claim arising from your content, your use of the Service in breach of these Terms, or your violation of any law or third-party right. Trinetra will indemnify you against any third-party claim that the Service itself infringes Indian intellectual-property rights, subject to the liability cap above.
10. Governing Law & Disputes
These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the courts at New Delhi, Delhi, India. Both parties agree to attempt good-faith resolution by email (legal@trinetracrm.com) for 30 days before commencing any formal proceedings.
Nothing in this clause limits the rights of a "consumer" under the Consumer Protection Act, 2019 ("CPA"). A consumer may, at their option, file a complaint with the District Consumer Disputes Redressal Commission of their place of residence, place of work, or where the cause of action arose, regardless of this forum-selection clause, per CPA §17. For B2B disputes (Growth plan and above, or any user operating Trinetra in the course of a registered business), New Delhi remains the exclusive forum.
11. Changes to Terms
We may update these Terms from time to time. Material changes will be notified at least 30 days in advance via in-app banner and email to your registered address. Continued use of the Service after the effective date of the changes constitutes acceptance. If you do not agree, you may cancel before the effective date and receive a pro-rated refund of the unused portion of an annual plan.
12. Grievance Officer & Contact
Per DPDP §8(9) and IT Rules 2021 Rule 4(1)(d), our designated Grievance Officer is Raj Kumar Upadhyay, Founder & Grievance Officer. Email grievance@trinetracrm.com (subject "Grievance" — any topic: terms dispute, billing, data deletion, refund). Phone +91 83839 00820 — voice or WhatsApp — during Mon–Sat, 10:00–19:00 IST. We acknowledge within 24 hours and resolve within 15 days — these SLAs match the IT Rules 2021 Rule 3(2)(a) intermediary standard, which Trinetra adopts voluntarily even though Trinetra is not classified as an intermediary under those Rules.
